AGM on 25 June - agenda update: details of proposed dividend and other decisions

 

Maib is pleased to provide additional details for decisions proposed for voting at the Annual General Shareholders Meeting (AGM), which will be held on 25 June 2026 at maib park.

 

Proposed dividends

Maib proposes MDL 3.88 per ordinary share dividend payout, representing a total payout of MDL 401.9 million out of 2025 profits, equal to 20.5% of net profit for the year.

The remaining MDL 1,557.0 million, or 79.5% of 2025 net profit, will be retained as undistributed profit and included in the bank's CET1 capital.

The dividend record date is 25/06/2026. Shareholders on the register as of that date will receive a dividend.

 

Other key agenda items

Maib proposes a dividend policy for 2026 of distributing between 30% and 50% of net profit to shareholders, with the remaining 50%-70% retained at the bank's disposal, subject to limits permitted by the National Bank of Moldova.

Other decisions include the confirmation of KPMG Moldova as the bank's external auditor for 2026-2028, as well as amendments to the Bank's Charter and the Supervisory Board's Regulation to align with recent changes in national legislation (agenda points V-VII).

 

AGM time and date

The Annual ordinary general shareholders meeting (AGM) of BC "MAIB" S.A. will be held on 25 June at 11:00 a.m., at the Bank headquarters, maib park, 31 August 1989, 127 street, Chisinau. The AGM will be held in-person.

The registration of participants at the Annual ordinary general shareholders meeting will be performed by the Registration Committee on the date of the Shareholders Meeting, at the Bank headquarters, maib park, on the following address: 31 August 1989, 127 street, Chisinau, between 8:30 a.m. and 10:30 a.m.

In order to participate in the AGM, the shareholders should present an ID document to the Registration Committee, while the shareholders representatives should additionally present power-of-attorney documents (the extract from the legal entities State register or the power of attorney legalized as required).

 

Agenda of the AGM

Decisions regarding:

  1. Approving the Bank's annual financial results for 2025.
  2. Approving the Bank's Supervisory Board's annual report for 2025.
  3. The distribution of the Bank's capital and the annual profit, including the payment of dividends for 2025.
  4. The dividend policy for 2026.
  5. Amendments to the Bank's Charter.
  6. Amendments to the Supervisory Board's Regulation.
  7. Approving the choice of auditor and audit fees.

 

The reference date to participate in the AGM is 22 June 2026. Shareholders on the register as of 22 June 2026 will have the right to participate and vote.

Supporting materials regarding the agenda of the AGM will be published on the maib website at the following address and will also be available in person at the Corporate Investments department, 31 August 1989, 127 street, Chisinau, from 15 June 2026, Monday to Friday between 9:00 a.m. and 4:00 p.m.
